Binding Agreement
These Terms and Conditions constitute a legal agreement between you and Orbit Vertex Nova Pivot. By using this website or engaging with any of our guided astronomy sessions, you confirm that you have read, understood, and agree to be bound by these terms. These terms apply in addition to the Terms of Service and any other policies published on this site.
1. User Obligations
1.1 Conduct Requirements

- · You agree not to engage in any conduct that is abusive, threatening, or harmful to others or to us.
- · You agree to provide accurate information when submitting enquiries or booking sessions.
1.2 Prohibited Activities
- · Attempting to gain unauthorised access to any part of the website or its underlying systems.
- · Uploading or transmitting malicious code, spam, or harmful content.
- · Misrepresenting your identity or affiliation in any communication with us.
- · Using automated tools to scrape, extract, or harvest content from this website without permission.
1.3 Age Requirements
Sessions are intended for individuals aged 16 and above. Younger participants may attend only when accompanied by a responsible adult who accepts these terms on their behalf.
2. Liability and Warranties
2.1 Disclaimer of Warranties
This website and the sessions offered are provided on an "as is" basis. Orbit Vertex Nova Pivot makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of any content, session material, or guidance provided.
2.2 Educational Nature
All sessions and content are educational in nature and do not constitute professional scientific advice. Observation outcomes depend on local weather, light pollution, and seasonal conditions that are beyond our control. We cannot guarantee specific sighting results.
2.3 Limitation of Liability
To the maximum extent permitted by law, Orbit Vertex Nova Pivot shall not be liable for any indirect, incidental, or consequential loss arising from the use of this website or participation in any session. Our total liability for direct loss shall not exceed the amount paid for the relevant session.
2.4 Force Majeure
We shall not be held liable for failure to perform obligations arising from circumstances beyond our reasonable control, including but not limited to natural events, severe weather, public health emergencies, or infrastructure failures.
2.5 Indemnification
You agree to indemnify and hold harmless Orbit Vertex Nova Pivot from any claims, damages, or expenses arising from your breach of these Terms and Conditions or your misuse of the website or services.
3. Legal Information
Governing Law
These terms are governed by and construed in accordance with the laws of Japan. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Japan.
Dispute Resolution
In the event of a dispute, we encourage direct communication in the first instance. If a resolution cannot be reached, disputes may be referred to mediation before proceeding to litigation.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue to apply in full.
Modification of Terms
These terms may be updated from time to time. The date at the top of this page reflects when changes were last made. Your continued use of the website constitutes acceptance of the current version.
4. Privacy and Data
Your use of this website is also subject to our Privacy Policy and Cookie Policy, which are incorporated into these terms by reference. By agreeing to these terms, you also acknowledge and accept those policies.
Payment, cancellation and refund procedure
Where Orbit Vertex Nova Pivot offers paid sessions, programmes or consultations, fees are quoted in Japanese yen and may be subject to Japanese consumption tax (currently 10 percent) where applicable. Payment is due in advance unless otherwise agreed in writing. Cancellations received more than 72 hours before a scheduled session receive a full refund; cancellations between 72 and 24 hours receive a 50 percent refund or a single complimentary reschedule; cancellations under 24 hours and no-shows are non-refundable. Refunds are processed via the original payment method within 14 business days. If a refund cannot be issued via the original method (e.g., expired card), we will contact you to arrange a bank transfer to a verified Japanese account.
Limitation of liability and indemnity
To the maximum extent permitted by Japanese law, Orbit Vertex Nova Pivot shall not be liable for indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, even if we have been advised of the possibility of such damages. Our total cumulative liability for any claim arising from your use of our services shall not exceed the greater of (a) the fees paid by you to Orbit Vertex Nova Pivot in the six months preceding the event giving rise to the claim or (b) ten thousand Japanese yen (¥10,000). You agree to indemnify and hold harmless Orbit Vertex Nova Pivot and its representatives from any third-party claim arising from your breach of these Terms or your unlawful use of our services.
Account suspension, termination and data return
Orbit Vertex Nova Pivot reserves the right to suspend or terminate your access to paid services at our reasonable discretion where (i) you materially breach these Terms; (ii) we are required to do so by Japanese law, regulation, or court order; or (iii) continued provision would expose us or other users to material risk of harm. On termination, we will return or securely delete personal data we hold about you within a reasonable period, save for records we are legally required to retain. Termination does not affect rights or obligations accrued before the date of termination, including any outstanding payment obligations.
